You retain all ownership rights to the content you create, submit, post, or display on or through Word Up ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service.
When you choose to share content publicly through the Gratitude Stream feature, that content becomes visible to other users. You understand that publicly shared content may be viewed, copied, and used by other users. You are solely responsible for what you share publicly.
The Service, including its original content, features, and functionality, is owned by RHO Advisory, LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software.

Community Sharing Standards: When sharing journal entries publicly through the Gratitude Stream, you must ensure your content is respectful and appropriate for a positive, supportive community. Offensive language, profanity, hate speech, discriminatory content, or any language that may harm or offend other community members is strictly prohibited. We reserve the right to remove any content that violates these standards and may suspend or terminate accounts of users who repeatedly violate this policy.
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We implement reasonable security measures, but cannot guarantee absolute security of your data.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORD UP, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to defend, indemnify, and hold harmless Word Up, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Word Up operates, without regard to its conflict of law provisions.
If you have any dispute with us, you agree to first contact us at support@wordup.com to attempt to resolve the dispute informally. If we are unable to resolve the dispute within sixty (60) days, you agree to resolve any claim, dispute, or controversy through binding arbitration rather than in court, except where prohibited by law.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service and may terminate your account.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
